By creating an account or using TaskFlow ("the Service"), you agree to be bound by these Terms of Service ("Terms") and our Privacy Policy. Together, these documents form a legally binding agreement between you and TaskFlow.
If you are using TaskFlow on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms. In that case, "you" refers to both you individually and the organization.
We may update these Terms from time to time. We will notify you of material changes via email or in-app notice at least 30 days in advance. Your continued use of the Service after the effective date of changes constitutes acceptance of the updated Terms.
2. Your Account
You must provide accurate and complete information when creating your account and keep it up to date.
You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account, whether or not authorized by you.
You must be at least 16 years old to use TaskFlow. If you are under 18, you must have parental or guardian consent.
You may not share your account credentials with others or allow multiple people to use a single account.
Notify us immediately at support@taskflow.app if you suspect unauthorized access to your account.
3. Acceptable Use
You may use TaskFlow for lawful purposes that comply with these Terms and all applicable local, national, and international laws and regulations.
You may not use TaskFlow to store or transmit malicious code, infringing content, illegal material, or any material that violates the rights of others.
You may not attempt to gain unauthorized access to any part of the Service, other user accounts, or related systems or networks.
You may not use automated tools (bots, scrapers, crawlers) to extract data from TaskFlow without prior written consent.
You may not use the Service to send unsolicited communications (spam) or engage in any activity that disrupts or interferes with the Service.
We reserve the right to investigate and take appropriate action against violations, including account suspension or termination.
4. Your Content
You retain full ownership of all content you create, upload, or store in TaskFlow ("Your Content"), including projects, tasks, comments, and files.
You grant TaskFlow a limited, non-exclusive, royalty-free, worldwide license to host, store, display, reproduce, and process Your Content solely as necessary to provide and improve the Service.
This license terminates when you delete Your Content or close your account, except for copies retained in backups (purged within 90 days) or as required by law.
We do not access Your Content except as necessary for service operation, to respond to support requests, to enforce these Terms, or to comply with legal obligations.
You can export or delete Your Content at any time through your account settings.
You represent that you have all necessary rights to Your Content and that it does not infringe or violate any third-party rights.
5. Intellectual Property
The Service, including its design, features, code, documentation, trademarks, logos, and all associated intellectual property, is owned by TaskFlow and protected by copyright, trademark, and other intellectual property laws.
These Terms do not grant you any right, title, or interest in the Service beyond the limited right to use it as described herein.
You may not copy, modify, distribute, sell, or create derivative works of any part of the Service without our prior written consent.
If you provide feedback or suggestions about the Service, you grant us the right to use that feedback without restriction or compensation.
6. Service Availability
We strive to maintain high availability but do not guarantee uninterrupted or error-free access to the Service.
Planned maintenance will be communicated in advance when possible. We are not liable for any downtime or data loss resulting from maintenance or outages.
We reserve the right to modify, suspend, or discontinue features of the Service with reasonable notice. For changes that materially reduce functionality of paid plans, we will provide at least 30 days notice.
Free-tier features and limits may change at our discretion.
7. Payment and Billing
Paid plans are billed in advance on a monthly or annual basis. All prices are in USD unless otherwise stated and are exclusive of applicable taxes.
You authorize us to charge your chosen payment method for all fees associated with your plan. Failure to pay may result in suspension or downgrade of your account.
You can cancel your subscription at any time. Cancellation takes effect at the end of your current billing period. No prorated refunds are provided for partial billing periods.
Refunds are available within 14 days of an initial purchase if you are unsatisfied with the Service. Annual plan renewals are refundable within 14 days of renewal.
We reserve the right to change pricing with at least 30 days advance notice. Price changes apply at your next renewal date; existing billing periods are not affected.
8. Termination
You may close your account at any time from your account settings. Upon closure, we will delete your data in accordance with our Privacy Policy.
We may suspend or terminate your account immediately if you materially violate these Terms. For minor violations, we will provide notice and a reasonable opportunity to cure the violation before termination.
Upon termination, your right to access the Service ceases immediately. We will retain data only as required by law or as described in our Privacy Policy.
Sections that by their nature should survive termination will survive, including Intellectual Property, Limitation of Liability, Indemnification, and Governing Law.
9. Disclaimer of Warranties
The Service is provided "as is" and "as available" without warranty of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, non-infringement, or uninterrupted availability.
We do not warrant that the Service will meet your specific requirements, that results obtained from the Service will be accurate or reliable, or that defects will be corrected.
Some jurisdictions do not allow the exclusion of certain warranties. In such cases, the above exclusions apply to the fullest extent permitted by applicable law.
10. Limitation of Liability
To the maximum extent permitted by law, TaskFlow's total aggregate liability for any claims arising out of or related to these Terms or the Service shall not exceed the greater of (a) the amount you paid for the Service in the 12 months prior to the claim, or (b) $100 USD.
We are not liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, goodwill, or business opportunities, arising from your use of or inability to use the Service.
These limitations apply regardless of the legal theory (contract, tort, strict liability, or otherwise) and even if we have been advised of the possibility of such damages.
Some jurisdictions do not allow the limitation of liability for certain types of damages. In such cases, our liability is limited to the fullest extent permitted by applicable law.
11. Indemnification
You agree to indemnify, defend, and hold harmless TaskFlow, its officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising from:
(a) your use of the Service or violation of these Terms;
(b) Your Content or any activity conducted through your account;
(c) your violation of any applicable law or third-party rights.
We will provide you with prompt notice of any such claim and reasonable cooperation in its defense. You may not settle any claim without our prior written consent.
12. Dispute Resolution
We encourage you to contact us at legal@taskflow.app to resolve disputes informally before initiating formal proceedings. We will attempt to resolve any dispute within 30 days of receiving your notice.
If informal resolution fails, any dispute arising out of or relating to these Terms shall be resolved through binding arbitration administered by a recognized arbitration body, rather than in court, except that either party may seek injunctive relief in court for intellectual property matters.
Arbitration shall be conducted on an individual basis. You agree to waive any right to participate in a class action lawsuit or class-wide arbitration.
Notwithstanding the above, if you are located in the EU/EEA, you retain the right to bring claims in your local courts as provided by applicable consumer protection laws.
13. Governing Law
These Terms are governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions.
For users in the European Union, nothing in these Terms affects your rights under mandatory consumer protection laws in your country of residence.
If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.
14. General Provisions
Entire agreement: These Terms, together with our Privacy Policy and Cookie Policy, constitute the entire agreement between you and TaskFlow regarding the Service.
Waiver: Our failure to enforce any provision of these Terms does not constitute a waiver of that provision or our right to enforce it in the future.
Assignment: You may not assign or transfer your rights under these Terms without our prior written consent. We may assign our rights and obligations without restriction.
Severability: If any provision of these Terms is found to be unenforceable, it shall be modified to the minimum extent necessary to make it enforceable, and the remaining provisions shall remain in effect.
Force majeure: We are not liable for any failure or delay in performance due to circumstances beyond our reasonable control, including natural disasters, war, terrorism, pandemics, or infrastructure failures.
